How to evaluate incubator equity when there is no cash investment

An equity percentage has little meaning without the support behind it. If a program is not investing cash, compare the specific work it commits to deliver, the time involved, and what happens if that work is not delivered.

Separate three different offers

A founder education program, a cash-investing accelerator, and a venture studio building a company from the start provide different resources and take different risks. Techstars’ published offer includes cash and two investment instruments. Founder Institute publishes an equity collective model. Neither should be copied without considering what your program actually provides.

Ask what earns the equity

Useful terms specify support hours, access, program length, deliverables, the share class or instrument, and the point when ownership is earned. Ask whether a percentage is calculated on a fully diluted basis and how future financing changes it.

Protect the company’s ability to grow

Understand information rights, board or veto rights, pro-rata rights, side letters, IP ownership, and withdrawal terms. Modest-looking equity can still carry terms that complicate future hiring or financing. Ask independent counsel to review the full agreement.

Read the exit and non-delivery provisions

What happens if the founder leaves early, the program cancels, a promised specialist is unavailable, or the company never forms? Clear milestones and termination terms reduce misunderstandings. Redko Labs has not finalized a standard equity offer; any offer will describe actual support and terms before acceptance.
